Terms of Service

1. Agreement to Terms
By accessing our website or retaining our engineering and development services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.
2. Scope of Services
We provide specialized Shopify technical development, systems integration (ERP, WMS, PIM), platform migrations, B2B wholesale architecture, custom apps/Functions, and ongoing engineering retainers.
Specific deliverables, timelines, milestones, and commercial terms for client engagements are established through written Statements of Work (SOW) or Retainer Agreements executed between both parties.
3. Client Responsibilities & Store Access
To perform the agreed services, the client agrees to:

Provide timely access to relevant Shopify development/collaborator stores, staging environments, API credentials, and required third-party services.

Designate a primary project point of contact for review and milestone sign-offs.

Maintain independent backups of store databases and digital assets prior to major migrations or deployment windows.
4. Intellectual Property & Code Ownership
Upon full settlement of project invoices, all custom Liquid code, React/Node apps, Shopify Functions, data migration scripts, and bespoke technical assets developed specifically for the client become the exclusive intellectual property of the client, excluding our proprietary baseline utility libraries and open-source packages.
5. Retainer Engagements & Invoicing
Monthly engineering retainer subscriptions and project milestones are invoiced according to the mutually agreed schedule. Retainer hours and dedicated engineering capacity are allocated on a month-to-month basis and do not roll over unless explicitly specified in your agreement.
6. Limitation of Liability
We adhere to the highest engineering standards and rigorous staging test suites. However, we shall not be liable for indirect, incidental, or consequential damages resulting from third-party platform downtime (including Shopify core outages, external ERP API downtime, or third-party app service interruptions).
